The contract (whether verbal, email, or written) between ReImagine Media (ReImagine) and the Client will be on these terms and conditions:

1.All work is carried out by ReImagine Media  on the understanding that the Client has agreed to  Reimagine Media terms and conditions whether verbally or written. The client agrees to these terms from commencement of initial contact and discussions, including agreement (verbally, via email, or written) to begin work with or without payment.
2. We don’t hide behind the telephone- you are welcome to call us! But we do normally prefer to use email as the method of contact with regard to communication, especially when your planning is in progress. It is vital that the Client should inform us of any change in their email, thanks.
3. ReImagine Media  will only commence work on a Project after receipt of a non refundable, 50% deposit of the quoted Project fee from the Client, unless an exception is made. ReImagine Media will require the remaining 50% before the finished work is done. Full publication of the Works may take place only after full payment has been received. Exceptions can be made. If full payment is not received, ReImagine Media has rights to all media, works, copyrights, content, postings, creations and has a right to re-use them, remove them, or delete them. Any outstanding invoice, that has to be collected can result in legal and other fees, that the client is solely responsible to pay in full.
4. The deposit paid to ReImagine Media covers the partial cost of design works to be carried out,  The deposit & services are non refundable, sorry. For TFS castings/photoshoots a 50, deposit maybe required.
5. The Client is expected to provide any ideas or concepts unless otherwise agreed upon.
6. It is important for the Client to keep in contact with ReImagine Media  throughout the entire Project. Projects are available for constant live viewings so it is important for the client to keep us updated, on a daily basis, especially where changes are needed! Please stay in touch with us!
7. The Customer agrees that changes required over and above the estimated work, or required to be carried out after acceptance of the draft design will be liable to a separate charge. If for example you give us the go ahead on a project you love- but then change your mind at about the project(s) we will need to charge you accordingly. These changes are priced separately.
8. ReImagine / BtsMedia cannot be held responsible for anything adversely affecting the Client’s business/personal operation, sales, or profitability that might be claimed is a result of a service offered by ReImagine / BtsMedia .
9. All images produced by BTSMEDIA / Reimagine   are owned and copy and copyrighted (unless owned by another entity or a license transfer was purchased). Should any legal issues or claims arise from the content or copyright of any images , the Client will be the sole responsibility legal actions.
10. ReImagine / BtsMedia reserves the right to change or modify any of these terms or conditions at any time. Should any persons need clarification of any of the above please contact ReImagine / BtsMedia .
11. You agree not to hold liable ReImagine / BtsMedia for any issues legally or for these services, monies paid / deposited or for its third party companies and you will hold ReImagine / BtsMedia , it’s employees and it’s partners harmless. HOLD HARMLESS AGREEMENT AND AFFILIATE/PARTNER COMPANY DISCLAIMER ReImagine / BtsMedia is not responsible or directly affiliated with the companies or individuals who provide “services.” Furthermore, We have no control over the it etc.. ReImagine / BtsMedia or its contractors are not liable for individual results. Should any concerns arise from the relationship with the company/individual providing services, these concerns should be handled directly with the company/individual. By paying for services you agree that our services are “best practices” as recommended by ReImagine / BtsMedia .

12. Any works unpaid, will not be delivered and ReImagine / BTSMedia has the right to keep any deposits.  If some or all of the works were delivered in good faith (with out deposits), ReImagine / BTSMedia will pursue legal actions to obtain the monies owed.   The client is responsible for all legal / personal fees resulting from legal action. They will be handled by a contracted copyright enforcement organization, and most such infringements will be invoiced at several times my usual fees to cover the additional costs of handling infringement cases. Infringement invoices are non-negotiable, and non-payment of infringement invoices will result in legal action to recover statutory damage by law. DCMA violation reports will also be submitted, and your sites/works will be taken down and your website contracts since violated will be taken down.  When TFS/Free services, ReImagine / BTSMedia reserves the right to re-schedule, or cancel some of the sessions for paid work that comes in at the last minute.

13. Problems with TFS  (TFP/PFT | TFA/TFC ) / Paid Clients:  When there is a problem with a client, or a cancellation from a potential we may charge a 50, deposit for appointment (normally pre-paid in advance). When the casting or photo shoot is TFS (Trade for …) and an appointment is missed/cancelled the 50, deposit will not be refunded and will be billed to the client. When BTSMedia / Reimagine has a problem with a TFS client, the parts or all of the portfolio photoshoot may no longer be free, and normal fees maybe charged. In addition the client may be subject to losses incurred by BTSMedia / Reimagine for example rental fees for equipment / location,  wage fees, losses for other work that could be scheduled at that time, consultant fees, travel fees or other fees incurred.

AGENCY TFS/PAID SERVICES AGREEMENT

This is a simple contract between : (Individual/Group/) in conjunction with my own or a fictitious names ______________________ and : (Photographer/Agent/Agency)  ReImagine / BTSMedia /Agnetia:

  1. APPOINTMENT: I agree to the appointment that has been discussed, whether in writing, via texting, social media, over the telephone or in person (by my word) to all the terms and conditions of this agencies services.
  2. COPYRIGHT: BTSMEDIA / Reimagine hereby declares that a copyright is attached to all of our professional photos / media, illustrations, writings, and expressions of all kinds, defined herein as “Works” as our sole and exclusive intellectual property, as defined in the Berne Convention, and by US/German & European law, custom, and practice.. For commercial use of the above, written consent is needed at all times and for all reasons, without exceptions. By this publishing, and henceforth forever, I notify that it is strictly forbidden by any other person/agency/company to disclose, copy, distribute, disseminate, or take any other action against our works on the basis of our works and/or its contents. The content of this profile is private and confidential information. The violation of my privacy is punished by law (UCC 1 1-308-308 1-103 and the Rome Statute), and such other national and international laws and treaties as may apply, and by tort and common law.   3. PERMISSION TO MAKE PHOTOGRAPHY: For valuable consideration, the adequacy of which is acknowledged, for your photographing me, and knowing that you have and will expend substantial expenses and time in reliance upon this Release and Consent, I irrevocably and absolutely consent to the unrestricted use by ____BTS MEDIA/Reimagine____ and his heirs, successors, assigns, and designees (“Photographer”), and those acting with Photographer’s permission and authority, of my name and any and all photographic or other images (“Images”) of me that Photographer creates or makes, for all purposes, in any form, in conjunction with my own or a fictitious name, and in any and all media, including, without limitation, advertising, art, promotion, solicitation, or TFS, or paid services. I hereby forever release and discharge Photographer, his heirs, legal representatives, agents, assigns and the party for whom the photographs were made, from any and all claims, actions and demands arising out of or in connection with the use of said Images, including without limitation, any and all claims for invasion of privacy and libel.
  4. PRICING: I agree to the pricing for services that have been discussed, whether they are TFS or Paid Services (Paid services include a quotation for the project).
  5. This Agreement constitutes the sole, complete and exclusive agreement between Photographer and me regarding the Images and I am not relying on any other representation whether oral or written.
  6. You agree not to hold liable BtsMedia for any issues legally or for these services performed, or in connection with, intentional or otherwise, touching however the slight, monies paid / deposited or for its third party companies and you will hold BtsMedia, its employees and its partners harmless. HOLD HARMLESS AGREEMENT AND AFFILIATE/PARTNER COMPANY DISCLAIMER ReImagine / BtsMedia is not responsible or directly affiliated with the companies or individuals who provide “services.”

I hereby affirm that I am over the age of majority and have the right to contract in my own name. I have read the above authorization, release and agreement, prior to its execution; This agreement shall be binding upon both parties hereto, their heirs, successors, assigns, etc. See terms.

  1. For valuable consideration, the adequacy of which is acknowledged, for your photographing me, and knowing that you have and will expend substantial expenses and time in reliance upon this Release and Consent, I irrevocably and absolutely consent to the unrestricted use by ___Reimagine____ and his heirs, successors, assigns, and designees (“Photographer”), and those acting with Photographer’s permission and authority, of my name and any and all photographic or other images (“Images”) of me that Photographer creates or makes, for all purposes, in any form, in conjunction with my own or a fictitious name, and in any and all media, including, without limitation, advertising, art, promotion, solicitation, or trade.
  2. I waive any right to inspect or approve the finished Images, advertising copy, text, or other printed matter that may be used in conjunction therewith, or to the eventual use that the Images may be applied.
  3. I release and discharge Photographer and those acting under Photographer’s authority from any and all liabilities, claims and demands arising out of or relating to any blurring, distortion, use in composite form, or alteration whether intentional or otherwise, that may occur or be produced in connection with the Images, or in connection with any processing, alteration, transmission, display, publication or other use of the Images.
  4. I hereby forever release and discharge Photographer, his heirs, legal representatives, agents, assigns and the party for whom the photographs were made, from any and all claims, actions and demands arising out of or in connection with the use of said Images, including without limitation, any and all claims for invasion of privacy and libel.
  5. This Agreement constitutes the sole, complete and exclusive agreement between Photographer and me regarding the Images and I am not relying on any other representation whether oral or written.

I fully understand the contents thereof. This agreement shall be binding upon me and my heirs,

legal representatives and assigns.

Agency/Model Agreement ( For explanation of details in each section click here )

This is a simple contract between : (Model) ______________________ and :

COPYRIGHT: REIMAGINE – BTSMEDIA / hereby declares that a copyright is attached to all of our professional photos / media, illustrations, writings, and expressions of all kinds, defined herein as “Works” as our sole and exclusive intellectual property, as defined in the Berne Convention, and by US/German & European law, custom, and practice.. For commercial use of the above, written consent is needed at all times and for all reasons, without exceptions. By this publishing, and henceforth forever, I notify that it is strictly forbidden by any other person/agency/company to disclose, copy, distribute, disseminate, or take any other action against our works on the basis of our works and/or its contents. The content of this profile is private and confidential information. FIELDS: Per this agreement, Model hereby appoints and engages Agent to act as Model’s personal manager in the fields of modelling, advertising and entertainment (hereinafter referred to as the “Fields”). Agency shall advise and counsel Model in the selection or consideration of career opportunities, photographers, advertisers, and the selection or creation of vehicles for Model’s talents.

DISTRIBUTION: Agency is hereby granted the exclusive right to use and distribute and allow or license others to make use of and distribute Model’s name, portrait and pictures in connection with the advertising and/or publicity of the Model in the Fields and in connection with the matters covered by this agreement. Agency may publicize that it is the exclusive personal manager for Model, and Agency may render similar services for others, and engage in other related business or ventures.

MODEL ENDEAVORS: Model agrees to seek Agency’s counsel in regard to all matters concerning Model’s endeavours in the Fields entered into by means of these works, Model shall advise Agency of all offers of employment submitted to Model and will refer all inquiries concerning Model’s services to Agency entered into by means of these works,. Model understands and agrees that Model shall not, while this agreement is in force, enter any modeling role without notification of Agency entered into by means of these works, Use of photos by model outside of solicitation for employment through the portfolio is strictly forbidden. PAYMENT: Model shall pay to Agency a sum equal to twenty per cent (25%) of all monies, fees or other contributions received by Model, directly or indirectly, under all contracts of modeling employment entered into by means of these works, payable within 10 days of receipt. If model fails to notify or pay Agency, agency has sole right to collect 99% of monies obtained.

TAXES: It is understood and agreed that Model is in business for himself/herself and is solely responsible for payment of any and all taxes, whether income, or otherwise. It is further understood and agreed that Agency is acting as a personal manager only, and does not operate as an employment agency.

BINDINGS: Model warrants that no other binding agreement is in force with any other party which would supercede this agreement.  See terms at https://mediapros.reimagine.link

Image Use
To use, unwatermarked image for commercial or personal use, you must purchase the appropriate license and term.

Paid photography
If you have paid our photographer for work, you are allowed to display that work in the privacy of your own home. Any publication. You are also granted limited use on your social account to display the image. Any use of the photo(s) beyond this requires prior permission is required and images must be accompanied by a visible photo credit, and in some cases a license fee.

Castings
All castings are also subject to these copyrights and terms.  In addition, if chosen for the casting and BTSMedia creates a portfolio, there maybe a upfront fee charged to the model.

Free (TFS) photography
The only kind of photography we do for free is charity work and model portfolios (TFS). Please see the terms above for the modeling portfolios and agreement. Since you have not paid anything for BTS Media’s works, you are forbidden to display any photo outside of the license agreement. Models may only use the images in their portfolio, any worked obtained model has agreed to pay BTSMedia a sum equal to twenty per cent (25%) of all monies, fees or other contributions received by Model, directly or indirectly, under all contracts of modeling employment entered into by means of these works, payable within 10 days of receipt. If model fails to notify or pay Agency, agency has sole right to collect 99% of monies obtained. Charities may use the work only for the limited license granted, any publication outside of this requires prior permission is required and images must be accompanied by a visible photo credit, and in some cases a license fee.
My general policies regarding image use depend on context, as follows:

Commercial Use
Images may be licensed for commercial use buy purchase. I offer discounts. Email me with the details of your project. Examples of commercial use include: company web pages, product labels, books, merchandise, magazines, most apps, and educational products.

License fees vary depending on the use, but generally fall between $40 and $400 per image.

Non-Profit Use
Registered non-profit organizations may be able to license my work at discounted rates, or free of charge, depending on the context of use. Contact me for an estimate; prior permission is required.

Classroom Use
Educational classroom use by students, teachers, and researchers is free of license fees, strongly encouraged, and does not require prior permission as long as the use does not involve uploading images to the internet. If the project involves posting my photographs to the internet, prior permission is required and images must be accompanied by a visible photo credit and a link back to mediapros.reimagine.link. Citing sources is good scholarship, after all!

I do not allow my work to be used in projects involving uploads to sites that apply a blanket Creative Commons license. This means my photographs cannot be used on Wikipedia, Wikispaces, and other sites. I do not allow my work to be published on any social network or website with out express permission, see below.

Conference Presentations
Participants of academic conferences are welcome to use my photographs in presentations and posters without prior permission. I require images to be accompanied by a credit.

Journal Articles/Technical Papers
Use of my photographs in the scientific literature is considered commercial use and requires a paid licensing agreement.

Press Releases
I do not allow my images to be used in press releases without a full rights-transfer.

Full Rights Transfers

Transfers can be purchased for a limited selection of unpublished photographs, starting at $500/image. However I require images to be accompanied by a credit. Also I will have limited fair use of the photos on my own personal website, just as any other professional photographer has.

Social Media – Commercial
Use of my photographs in social media (facebook, blogs, twitter, etc.) by commercial entities is the same as “Commercial Use” (above) and requires a licensing agreement.

Social Media – Personal
People acting in a personal capacity are welcome to share my photographs on blogs, web pages, and social media accounts without prior permission, provided that all images are accompanied by a link back to mediapros.reimagine.link. Failure to attribute an image properly may result in a takedown notice to the web host, and lawsuit.

Derivative Artworks
Prior permission is required to copy all or parts of my photographs in derivative artworks. Some adaptations I may consider to be Fair Use, others will require a formal licensing agreement. The only way to be sure is to ask.

Copyright Infringement Policy
Unfortunately, I contend with hundreds of copyright infringements every year. I have implemented the following policy in an attempt to maintain control over my work.

Unauthorized non-commercial uses of my copyrighted images and text are subject to DMCA takedown requests without advance notice.

Unauthorized commercial infringements of my copyrighted images will be handled by a contracted copyright enforcement organization, and most such infringements will be invoiced at several times my usual fees to cover the additional costs of handling infringement cases. Infringement invoices are non-negotiable, and non-payment of infringement invoices will result in legal action to recover statutory damage as outlined in Title 17, § 504, of the US/German/International copyright laws.

All of the images on are registered copyright with the U.S. copyright office.
